Terms of Service

Important: Please read these Terms of Service carefully before using Synaplux. By creating an account or using our platform, you agree to be bound by these terms. If you do not agree, do not use our services.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Synaplux Technologies Private Limited ("Synaplux," "we," "us," or "our"), governing your access to and use of the Synaplux platform, including our website at synaplux.com, our web application, APIs, and all related services (collectively, the "Services").
By accessing or using our Services, clicking "I Agree," or creating an account, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
2. Eligibility
To use Synaplux, you must:
- Be at least 16 years of age (or the age of digital consent in your jurisdiction, if higher)
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using our Services under applicable law
- If using on behalf of a business, have authority to bind that entity to these Terms
By using Synaplux, you represent and warrant that you meet all eligibility requirements.
3. Your Account
When you register for a Synaplux account, you agree to provide accurate, current, and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account, whether authorized or not
- Notifying us immediately at security@synaplux.com of any unauthorized use
- Ensuring your account information remains accurate and up to date
You may not share your account credentials with others, transfer your account to another person, or create accounts for deceptive purposes. We reserve the right to disable accounts that violate these Terms.
4. Our Services
Synaplux provides an AI-powered business workflow platform that includes:
- AI Prompt Engine: Tools to generate, optimize, score, and manage business prompts.
- Python Lab: A secure sandboxed Python execution environment with pre-installed ML libraries.
- Template Library: A collection of pre-built prompt templates for various business use cases.
- Workflow Builder: Tools to chain AI operations into automated business workflows.
- REST API: Programmatic access to all platform features.
We reserve the right to modify, suspend, or discontinue any feature or the entire Service with reasonable notice. We will not be liable for any modification, suspension, or discontinuation of the Services.
5. Acceptable Use Policy
You agree to use Synaplux only for lawful purposes and in accordance with these Terms. You must NOT:
- Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or discriminatory
- Use our platform to create malware, spyware, phishing content, or cyberattacks
- Attempt to gain unauthorized access to our systems, other users' accounts, or any related network
- Reverse engineer, decompile, or disassemble any part of the platform
- Use automated means to scrape, crawl, or extract data from our platform without authorization
- Resell or sublicense access to our Services without written permission
- Use the Services to generate spam, unsolicited communications, or misleading content
- Violate any applicable local, national, or international law or regulation
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
Violations of this policy may result in immediate suspension or termination of your account without refund.
6. Your Content
You retain ownership of all content you create using Synaplux, including prompts, Python scripts, workflows, and templates ("User Content"). By submitting User Content, you grant Synaplux a limited, non-exclusive, royalty-free license to host, store, display, and process your content solely as necessary to provide the Services to you.
You represent and warrant that:
- You own or have the right to use all content you submit
- Your content does not infringe any third-party intellectual property, privacy, or other rights
- Your content complies with all applicable laws
Important: We do not use your User Content to train AI models without your explicit opt-in consent. You may opt in to our data improvement program in your account settings.
7. Intellectual Property
The Synaplux platform, including its design, code, features, documentation, trademarks, and branding, is owned by Synaplux Technologies Private Limited and protected by copyright, trademark, and other intellectual property laws.
You may not use our trademarks, logos, or brand elements without our prior written consent. All rights not expressly granted in these Terms are reserved by Synaplux.
If you believe any content on our platform infringes your intellectual property rights, please contact us at legal@synaplux.com with a detailed infringement notice.
8. Payment & Billing
Paid plans are billed in advance on a monthly or annual basis. By subscribing to a paid plan:
- You authorize us to charge your payment method on a recurring basis
- You agree that subscriptions auto-renew unless cancelled before the renewal date
- Prices are in Indian Rupees (INR) and exclusive of applicable taxes (GST)
- We offer a 30-day money-back guarantee on first-time Pro plan purchases
- Refunds are not available for annual plans after the 30-day period, except where required by law
- You may cancel your subscription at any time; access continues until the end of the billing period
We reserve the right to change pricing with 30 days' advance notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.
9. Termination
You may terminate your account at any time by going to Settings → Account → Delete Account. Upon termination, your data will be deleted in accordance with our Privacy Policy retention schedule.
We may suspend or terminate your account immediately, without notice or liability, if we determine that you have violated these Terms, engaged in fraudulent activity, or if required by law. Upon termination by us for cause, no refund will be issued.
Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will continue to apply after termination.
10. Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that: (a) the Services will be uninterrupted or error-free; (b) AI-generated content will be accurate, complete, or suitable for any particular purpose; (c) any defects will be corrected; or (d) the Services are free of viruses or other harmful components.
AI-generated outputs should be reviewed by qualified professionals before use in legal, medical, financial, or other high-stakes decisions. We are not responsible for decisions made based on AI outputs.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNAPLUX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION.
In no event shall our total liability to you for all claims relating to the Services exceed the greater of: (a) the amount you paid to Synaplux in the 12 months preceding the claim, or (b) INR 5,000.
12. Indemnification
You agree to indemnify, defend, and hold harmless Synaplux and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.
13. Governing Law & Disputes
These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India.
Before initiating formal legal proceedings, you agree to first attempt to resolve any dispute by contacting us at legal@synaplux.com. We will attempt to resolve disputes informally within 30 days of receiving written notice.
14. Changes to These Terms
We may update these Terms at any time. For material changes, we will provide at least 14 days' notice via email or a prominent notice on the platform. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the changes.
If you do not agree to the modified Terms, you must stop using the Services and may request account deletion.
